1. Agreement to these terms
These Terms of Service (the “Terms”) are a binding agreement between you and Relayys, Inc. (“Relayys”, “we”, “us”). They govern your access to and use of the Relayys website at relayys.com, the Relayys platform, dashboard, JavaScript pixel, APIs, and related services (together, the “Services”).
By creating an account, joining the waitlist, purchasing early access, deploying the Relayys pixel, or otherwise using the Services, you accept these Terms. If you are using the Services on behalf of a company or agency, you represent that you have authority to bind that organization, and “you” refers to that organization.
If you do not agree to these Terms, do not use the Services.
2. The Services
Relayys provides ad-fraud prevention and revenue attribution tooling, including a drop-in JavaScript pixel that captures click identifiers and behavioral telemetry, bot-detection filters (including honeypots and timing analysis), a verification dashboard, and server-side conversion feeds to advertising platforms such as Google Ads and Meta.
The Services are business tools intended for use by companies, agencies, and professionals. They are not directed at consumers acting for purely personal purposes, and they are not intended for use by anyone under 18.
3. Accounts and eligibility
You must provide accurate, complete information when registering and keep it up to date. You are responsible for all activity under your account and for keeping your credentials confidential. Notify us promptly at sales@relayys.com if you suspect unauthorized access.
We may suspend or terminate accounts that violate these Terms, create risk or legal exposure for us, or have been inactive for an extended period, with notice where practicable.
4. Your data responsibilities when deploying the pixel
When you install the Relayys pixel on your websites or landing pages, Relayys collects data about your visitors (“End User Data”) — such as IP addresses, click identifiers (gclid, fbclid), device and browser information, and behavioral telemetry — on your behalf and at your direction. For this data, you are the data controller (or “business” under US state privacy laws) and Relayys acts as your data processor (or “service provider”).
As the controller, you are responsible for:
- having a lawful basisto collect and process End User Data, including obtaining any consent required by applicable law (e.g. the GDPR and the ePrivacy rules in the EU/UK) before the pixel sets or reads identifiers on a visitor's device;
- providing a privacy notice on your sites that discloses your use of analytics/anti-fraud tracking and of conversion sharing with advertising platforms;
- honoring end-user rights requests (access, deletion, opt-out of sale/sharing) — we will assist you as described in our Privacy Policy;
- ensuring conversion data you route to Google Ads, Meta, or other platforms through Relayys complies with those platforms' policies and applicable law.
Upon request, we will enter into a data processing agreement (DPA) with customers who require one. Email sales@relayys.com.
5. Acceptable use
You agree not to:
- use the Services to collect data from sites you do not own or lack authorization to instrument;
- use the Services to track individuals for stalking, harassment, discrimination, or any unlawful surveillance;
- deploy the pixel on sites directed at children or on pages collecting sensitive data (health, financial account credentials) without appropriate legal safeguards;
- reverse engineer, resell, sublicense, or white-label the Services without our written agreement;
- probe, disrupt, or overload our infrastructure, or attempt to bypass usage limits or bot-detection systems;
- use the Services to submit fraudulent conversion data to advertising platforms, or to interfere with competitors' advertising;
- violate any applicable law, including privacy, consumer-protection, and advertising laws.
We may throttle, suspend, or terminate access for violations of this section.
6. Fees, payments, and our merchant of record
Paid plans and pricing are described on our pricing page. All payments are processed by Dodo Payments, our merchant of record. This means Dodo Payments is the seller of record for your transaction: it processes your payment, calculates and remits applicable taxes (VAT, GST, sales tax), and issues invoices and refunds. Your purchase is also subject to Dodo Payments' buyer terms.
- Early access: a one-time fee (currently $5) that grants pre-launch access to the product and dashboard, an onboarding call, and setup assistance. See the Refund & Cancellation Policy for refund terms.
- Subscriptions: billed in advance on a recurring basis (monthly unless stated otherwise) and renew automatically until cancelled. You can cancel at any time, effective at the end of the current billing period.
- Price changes:we may change subscription prices with at least 30 days' notice; changes apply from your next renewal.
- Overages: plans include usage allowances (e.g. tracked clicks per month). We will notify you before charging for usage beyond your plan or require an upgrade.
7. Intellectual property
We own the Services, including the pixel code, dashboard, detection models, and all related intellectual property. We grant you a limited, non-exclusive, non-transferable license to use the Services (including embedding the pixel on your own properties) for the duration of your plan and in accordance with these Terms.
You retain all rights to your data. You grant us a license to process your data and End User Data solely to provide, secure, and improve the Services. We may use aggregated, de-identified data (e.g. fraud-pattern statistics) to improve detection quality, provided it does not identify you or any individual.
If you send us feedback or suggestions, we may use them without restriction or obligation.
8. Third-party platforms
The Services interoperate with third-party platforms such as Google Ads, Meta, and Stripe. Your use of those platforms is governed by their own terms, and we are not responsible for their availability, decisions (including ad-account actions), or data practices. Platform API changes may affect features; we will use reasonable efforts to adapt.
9. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Fraud detection is probabilistic. We do not warrant that the Services will identify all invalid traffic, that no legitimate traffic will ever be flagged, or that use of the Services will produce any particular advertising outcome, cost reduction, or refund from any ad platform.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES IS LIMITED TO THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW (INCLUDING FOR FRAUD OR WILLFUL MISCONDUCT), OR AFFECTS STATUTORY RIGHTS OF CONSUMERS WHERE THEY APPLY.
11. Indemnity
You will defend and indemnify Relayys against third-party claims arising from (a) your websites, products, or advertising; (b) End User Data you instruct us to collect without a lawful basis or required notice/consent; or (c) your breach of these Terms — except to the extent the claim results from our own breach or negligence.
12. Term and termination
These Terms apply while you use the Services. You may stop using the Services and cancel your subscription at any time. We may terminate or suspend the Services for material breach (with a 14-day cure period where curable), for legal or security reasons, or upon discontinuation of the Services with reasonable notice.
Upon termination we will, at your request within 30 days, delete or return your data, except where retention is required by law. Sections that by their nature should survive (IP, disclaimers, liability, indemnity, governing law) survive termination.
13. Changes to these Terms
We may update these Terms from time to time. For material changes we will give at least 14 days' notice by email or in-product notice before they take effect. Continued use of the Services after the effective date constitutes acceptance. If you do not agree, cancel before the change takes effect.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules, and the courts located in Delaware will have exclusive jurisdiction — except that if you are a consumer in the EU/UK, you keep the protection of the mandatory laws and courts of your country of residence.
